FDI英文全称Foreign Direct Investment，即外国直接投资，也叫外商直接投资。
跟ODI（Overseas direct investment）海外直接投资的区别在于：FDI是代表海外向中国投资，ODI代表中国向海外投资。
与ODI对外投资一样，外商想要合法合规的在中国进行投资活动，也需要先在中国相关负责部门办理备案。
外商在国内投资的形式包含：中外合资、中外合作、外商独资、外商投资合伙、外商并购境内企业、外商投资企业增资及再投资项目等。

根据37号公告的规定，外商投资准入特别管理措施范围为：

1、自由贸易试验区内按照《自由贸易试验区外商投资准入特别管理措施（负面清单）（2017年版）》的规定执行；

2、自由贸易试验区外则按《外商投资产业指导目录（2017年修订）》中《外商投资准入特别管理措施（外商投资准入负面清单）》的规定执行，即除了上述负面清单以外的外商投资企业的设立和变更都可以适用备案制。

适用备案管理的外商投资企业包括：中外合资经营企业、中外合作经营企业、外资企业以及外商投资的股份有限公司、投资类外商投资企业（包括投资性公司、创业投资企业）。

此外，根据《办法》第三十三条规定，港澳台地区投资者投资不涉及国家规定实施准入特别管理措施的，参照适用备案管理。

According to Announcement No.37, the scope of special management measures for foreign investment access is:

1. The Pilot Free Trade Zone shall be implemented in accordance with the Special Administrative Measures for Foreign Investment Access in the Pilot Free Trade Zone (Negative List) (2017 Edition);

2. Outside the Pilot Free Trade Zone, it shall be implemented in accordance with the Special Administrative Measures for Foreign Investment Access (Negative List of Foreign Investment Access) in the Catalogue for the Guidance of Foreign Investment Industries (Revised in 2017), that is, the filing system can be applied to the establishment and change of foreign-invested enterprises except the above negative list.

Foreign-invested enterprises subject to filing management include: Sino-foreign joint ventures, Sino-foreign cooperative ventures, foreign-funded enterprises, foreign-invested joint stock limited companies and investment-oriented foreign-invested enterprises (including investment companies and venture capital enterprises).

In addition, according to the provisions of Article 33 of the Measures, if the investment of investors from Hong Kong, Macao and Taiwan regions does not involve the implementation of special access management measures as stipulated by the state, it shall be subject to filing management
